TERMS AND CONDITIONS SET OUT FOR CANNABIS SOCIAL CLUB MEMBERS AND GROWERS
This agreement (“Agreement”) is entered into as of date of registration and by and between the (“Member”), and the (“Grower”), collectively referred to as the “Parties”. Grower is defined and recorded in terms of the club constitution.
RECITALS
Member desires to consume cannabis in a social setting, and it is illegal to sell cannabis in South Africa.
Grower is willing to grow cannabis for Member in accordance with the provisions of this Agreement.
Club provides a social space where cannabis can be shared amongst Members.
The Parties wish to enter into this Agreement to establish the terms and conditions under which Grower will grow cannabis on behalf of Member, and Member will reimburse Grower for the cost and associated costs of and relating to the cultivation of the cannabis.
AGREEMENT
Growing Services
Grower agrees to grow cannabis on behalf of Member, in accordance with the provisions of this Agreement. The cannabis grown by Grower shall be delivered to The Club premises for storage.
Reimbursement for Growing Services
Member agrees to reimburse Grower for the cost of growing the cannabis. The cost of growing the cannabis shall include all costs incurred by Grower in connection with the cultivation and production of the cannabis, including but not limited to, the cost of seeds, soil, water, electricity, labor, and equipment. The cost of growing the cannabis shall be determined by Grower and communicated to Member.
Delivery of Cannabis
Grower agrees to deliver the cannabis to Club. Member shall be responsible for collecting the cannabis from Club.
Use of Cannabis
Member agrees to use the cannabis solely for personal use and not for resale. Member acknowledges that cannabis is illegal to sell in South Africa, and that the cannabis grown by Grower is intended for sharing amongst Members at The Club.
Representations and Warranties
Grower represents and warrants that:
- The cannabis grown by Grower is of high quality and free from contaminants and defects.
- Grower has all necessary capabilities and expertise to grow cannabis in accordance with South African laws and regulations.
- Grower will comply with all laws and regulations applicable to the cultivation and production of cannabis.
Indemnification
Member agrees to indemnify and hold harmless Grower and Club from and against any and all claims, damages, liabilities, and expenses (including reasonable attorney’s fees) arising out of or in connection with any breach of this Agreement by Member or any act or omission of Member in violation of South African laws and regulations.
Term and Termination
This Agreement and irrevocable instructions shall remain in effect until terminated by either party upon written notice to the other party. Either party may terminate this Agreement immediately upon written notice to the other party in the event of a material breach by the other party.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of South Africa. Any dispute arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the [insert name of arbitration organization].
Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.
